The transaction is at an advanced stage, with the purchase price already agreed, and the client is looking for an experienced bilingual professional to support the ongoing due diligence and transaction process. The role will have a particular focus on supply chain and procurement due diligence, including supplier and spend analysis, operational risk assessment, and the identification and sizing of potential synergies. Interim M&A Director — Strategic Buyer (US/Canada, Industrial/HVAC, Buy-Side) (Start: ASAP)

Project
We are supporting an international industrial company in its search for an experienced Interim M&A Director to independently lead two urgent, parallel buy-side acquisition processes across the US and Canada. The mandate is deliberately hands-on: there is no advisory boutique or junior execution team behind the transactions, so the Director must personally own and execute the full deal lifecycle rather than supervise or delegate. What makes this role distinctive is the "one-person M&A function" profile required — sufficient seniority to own a deal end-to-end, combined with the willingness and technical depth to personally build the models, run diligence, and draft the materials. Responsibilities: / Independently lead two parallel buy-side M&A processes across the US and Canada under urgent timelines / Own each transaction end-to-end, from initial target assessment through signing and closing / Personally perform financial analysis, valuation, and transaction modelling / Assess targets and prepare internal transaction and investment-decision materials / Manage and coordinate financial, legal, tax, and commercial due diligence workstreams / Coordinate external advisers directly, without an intermediating boutique / Support and drive negotiations with targets and their shareholders / Review and coordinate transaction documentation alongside legal counsel / Manage internal stakeholders across North America and Europe / Maintain transaction timelines, workstreams, and deliverables, resolving issues proactively without extensive internal support Requirements: / Possess 10–15 years of relevant professional experience with significant, direct M&A execution exposure / Demonstrate a verifiable track record of personally executing buy-side transactions end-to-end / Show strong transaction experience in the US and/or Canada / Exhibit excellent financial modelling, valuation, and transaction-analysis capability / Demonstrate hands-on due diligence and transaction-management experience across financial, legal, tax, and commercial workstreams / Possess the seniority to own a transaction independently while remaining willing and able to produce the analysis personally / Show the capacity to run two live transactions simultaneously under compressed timelines / Demonstrate strong communication and stakeholder-management skills across a multi-geography organisation Nice to Have: / Prior experience within industrial businesses / Exposure to HVAC, ventilation, building technologies, or adjacent industrial sub-sectors / Current base in the US or Canada / Experience coordinating cross-border North America / Europe stakeholder groups Scope of Work: / Two concurrent buy-side acquisition processes in the US and Canada / Full transaction ownership: assessment, valuation/modelling, diligence coordination, negotiation, documentation, and close / Direct coordination of external financial, legal, tax, and commercial advisers / Preparation of internal decision and approval materials for the acquiring organisation / Engagement expected to run for the duration of the two live processes Ideal Profiles: / A current or recent M&A Director / Corporate Development Director inside a mid- or large-cap industrial corporate, who has personally led buy-side deals (not merely governed a team) — typically ~10–15 years combining an early transaction-execution grounding with 5–8+ years of in-house corporate M&A ownership. / An interim/independent M&A executive who spent a formative period in transaction advisory (IB M&A or Big Four transaction services) before moving in-house, and now runs standalone interim mandates as a hands-on operator comfortable being the entire deal team. / A senior corporate-development professional from an adjacent hard-asset industrial vertical (building technologies, engineered products, industrial services) with repeated cross-border US/Canada buy-side execution and a demonstrably "sleeves-rolled-up" delivery style.
